Formation documents prove that your business was legally established. The specific documents required depend on your entity type and jurisdiction.

By entity type

One of the following:
  • Business license
  • Trade name registration
  • DBA (Doing Business As) filing
General Partnership — one of:
  • Partnership agreement
  • Business license listing all partners
  • Trade name registration listing partners
Limited Partnership (LP) — Certificate or Registration of Limited Partnership filed with the secretary of stateLimited Liability Partnership (LLP) — Certificate or Registration of Limited Liability Partnership filed with the secretary of state
One of the following, filed with the secretary of state:
  • Articles of Incorporation
  • Certificate of Incorporation
One of the following, filed with the secretary of state:
  • Articles of Organization
  • Certificate of Organization
  • Articles of Incorporation or Certificate of Incorporation (filed with the secretary of state)
  • Application for Tax-Exempt Status (IRS Form 1023 or 1023-EZ, for US entities)
Same as Corporation:
  • Articles of Incorporation or Certificate of Incorporation (filed with the secretary of state)
If the DAO is established as a legal entity (e.g. LLC), standard formation documents apply.Otherwise, acceptable alternatives include:
  • White paper or governance framework
  • Membership agreements
  • Governance documentation outlining structure and decision-making
  • Trust Deed
  • Certificate of Trust
  • Notarized Trustee’s Affidavit
  • Articles of Incorporation
  • Bylaws
  • Membership Agreement

Regional notes

Mexico: A copy of the entity filing document (Cédula de Identificación Fiscal) confirming the entity’s RFC is required.
